Hobby Nest is a subscription-based peer-to-peer marketplace designed for hobby and craft lovers in the United States. Our platform allows you to connect with other users, browse listings, and, if you choose, buy or sell items through your account. All users start with one account, and while every user can browse, posting items or engaging with sellers requires an active subscription. (“Services”)

These Terms apply to all users. Additionally, Sellers must also agree to separate Seller Terms before they list or sell items. If you are a Seller, please also refer to our Seller Terms posted on the website. 

It is important to understand that Hobby Nest does not buy or sell items on your behalf. We provide the platform and tools that make trading possible, but the actual transaction is always between the buyer and the seller. This means that we do not control what is being sold, the quality of those items, or whether a seller completes a sale. Our role is to provide a safe and fair environment for the community, and to support you with platform features, security, and customer service.

IMPORTANT NOTICE: PLEASE READ THESE TERMS & CONDITIONS CAREFULLY. THESE TERMS INCLUDES IMPORTANT PROVISIONS THAT MAY AFFECT YOUR RIGHTS, INCLUDING DISCLAIMERS IN SECTION 14, LIMITATIONS OF LIABILITY IN SECTION 15, INDEMNIFICATION OBLIGATIONS IN SECTION 16, AND A DISPUTE RESOLUTION CLAUSE IN SECTION 17 THAT INCLUDES AN AGREEMENT TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS THROUGH NEGOTIATION OR LEGAL ACTION IN DESIGNATED JURISDICTIONS, WITH WAIVERS OF CLASS ACTIONS AND JURY TRIALS. BY USING OUR WEBSITE, YOU AGREE TO BE BOUND BY THESE TERMS.

1.      ACCEPTANCE OF THE TERMS & CONDITIONS

By creating an account, browsing our website, paying for subscription, engaging with users / Sellers through Hobby Nest, or by using our website, or by clicking on a button or taking similar action to signify your affirmative acceptance of these Terms, you hereby represent that:

i.           You have read, understood, and agreed to be bound by these Terms and any future updates and additions to these Terms, as published from time to time at the website.

ii.         You meet all of the eligibility conditions specified in Section 3 below. iii.         We must not have previously disabled your account for violation of law or any of our policies. iv.      You have read, understood, and consented to our Privacy Policy.

v. You agree that you are responsible for ensuring compliance with these Terms and for all actions taken by your employees or agents who use the Hobby Nest website on your behalf. 

2.      DEFINITIONS

For the purposes of these Terms & Conditions, the following terms shall have the meanings set forth below:

i.                  Account: The personal profile created by a user to access and use the Hobby Nest platform, including both buyer and seller functions.

ii.                Buyer: A user who purchases or intends to purchase items listed on the Hobby Nest platform.

iii.              Seller: A user who lists or offers items for sale on the Hobby Nest platform, subject to agreeing to the Seller Terms in addition to these Terms & Conditions.

iv.               User: Any person who creates an Account or uses the Hobby Nest platform, whether as a buyer, seller, or both.

v.                 Subscription: The quarterly or yearly paid plan that grants access to posting items, sending messages, and using other features of the Hobby Nest platform.

vi.               Credits: The optional paid add-ons that allow users to “bump” or “pin” their listings for greater visibility on the platform.

vii.             Listing: Any product or item offered for sale by a seller on the Hobby Nest platform.

viii.           Platform: The website www.hobbynest.com and all related services provided by Hobby Nest, LLC.

ix.               Services: The subscription access, tools, features, and support that Hobby Nest provides to facilitate connections between buyers and sellers.

x.                 Content: All text, images, photos, listings, messages, reviews, and any other material uploaded or shared by users on the platform. xi. Prohibited Items: Items that are not allowed to be listed or sold on the Hobby Nest platform, as defined in the Seller Terms.

xii.             Stripe: The third-party payment processor used by Hobby Nest to handle subscription and credit payments.

xiii.           Personal Information: Any information that identifies a user, including name, address, phone number, and email address, as collected and stored by Hobby Nest.

xiv.            Messaging System: The internal communication feature on Hobby Nest that allows subscribed users to contact each other regarding listings.

xv.             Policies: The rules, guidelines, and policies issued by Hobby Nest from time to time, including these Terms & Conditions, the Seller Terms, Privacy Policy, Cancellation & Refund Policy, and DMCA Notice.

xvi.            Termination: The suspension, deactivation, or permanent closure of a user’s account by Hobby Nest due to breach of these Terms or for other valid reasons.

xvii.          We/Us/Our: Refers to Hobby Nest, LLC, a company registered in Ohio, USA, operating the platform. xviii. You/Your: Refers to the individual user accessing or using the platform, whether as a buyer, seller, or both.

3.      ELIGIBILITY 

To use Hobby Nest, you must be at least 18 years old and a resident of the United States. By creating an account, you confirm that you meet these requirements and that you have the legal capacity to enter into binding agreements.

We do not allow accounts to be created by anyone under the age of 18. Parents or guardians cannot create an account on behalf of a minor. This rule is in place to keep the platform safe and to comply with the laws that apply to us.

If we find that an account has been created with false information, or that it belongs to someone who does not meet the eligibility requirements, we may suspend or permanently close that account without refund. It is your responsibility to provide accurate details when registering and to keep your information up to date.

4.      ACCOUNT CREATION

i.             Single Account for Buyers and Sellers: Every user must create one account to use Hobby Nest. The same account allows you to browse, buy, and, if you agree to the Seller Terms, also sell items.

ii.           Accurate Information: You must provide complete and truthful information when creating your account, including your name, address, phone number, and email. You are responsible for keeping this information updated at all times.

iii.         Eligibility Confirmation: By creating an account, you confirm that you are at least 18 years old, a resident of the United States, and legally able to enter into a binding agreement. iv. Security of Login Details: You must keep your login credentials secure and not share them with anyone. You are responsible for all activity that takes place under your account.

v.               Prohibited Multiple Accounts: Creating more than one account per person is not allowed. If we find duplicate accounts, we may suspend or remove them without refund.

vi.             Account Verification: Hobby Nest may require you to verify your identity, email, or other details to keep the platform safe and secure. Failure to complete verification may result in restricted access or suspension.

vii.            Right to Refuse or Suspend: Hobby Nest reserves the right to refuse account creation or suspend an account if it is created with false details, violates eligibility rules, or is used in a way that breaches these Terms.

5.      PERMITTED USES 

i.               Browsing the Platform: You may use your account to browse listings, view seller profiles, and explore available hobby and craft items.

ii.             Buying Items: As a subscribed user, you may purchase items directly from sellers through the Hobby Nest platform. All transactions are strictly between you and the seller.

iii.           Selling Items: If you agree to the Seller Terms, you may create listings, manage offers, and sell items using your account, subject to your subscription level.

iv.            Messaging Other Users: You may use the platform’s messaging system to communicate with other users about listings, offers, and purchases, provided you use it respectfully and only for legitimate trading purposes.

v.              Posting Reviews: Subscribed users may leave fair and honest reviews about sellers, buyers, or transactions to help maintain trust and transparency within the community. vi. Using Subscription Features: You may use credits to bump or pin your listings for greater visibility, provided you have purchased them lawfully through the platform. vii. Lawful Purposes Only: You must use the platform only for lawful hobby and craft trading purposes and in compliance with these Terms and all applicable laws.

6.      RESPONSIBILITIES OF BUYERS

i.           Subscription Requirement: Buyers must have an active subscription to use the platform for purchasing items. Without a subscription, you may browse listings but you cannot message sellers, post, favorite items, or complete transactions through Hobby Nest.

ii.         Providing Accurate Information: Buyers must provide correct and complete information, including name, address, and payment details, when registering, subscribing, or purchasing credits. False or misleading information may result in suspension or cancellation of the account. iii. Understanding the Buyer–Seller Relationship: Buyers must understand that Hobby Nest does not sell items itself. All purchases are made directly from sellers. Hobby Nest provides the platform but is not responsible for the quality, description, legality, delivery, or performance of items sold.

iv.             Reviewing Listings Carefully: Buyers must carefully read the full description, photos, and any seller-provided details before making a purchase. If you have questions about an item, you must contact the seller through the messaging system before completing a transaction.

v.               Respectful Communication: Buyers must use the messaging system responsibly and

respectfully. Abusive language, harassment, or attempts to bypass the platform’s processes are not permitted.

vi.             Compliance with Payment Terms: Buyers must ensure that subscription fees and any purchased credits are paid on time through the approved payment system (Stripe). Chargebacks, fraudulent payments, or misuse of payment methods may result in account suspension.

vii.            Timely Action in Transactions: Once you agree to purchase an item, you must act in good faith by making payment directly to the seller as agreed and arranging for delivery, shipping, or pickup in a timely manner.

viii.          Leaving Honest Reviews: Buyers are encouraged to leave fair, truthful, and respectful reviews of sellers and their items after a purchase. Reviews must not be false, defamatory, or misleading. ix. Compliance with Laws: Buyers must comply with all local, state, and federal laws when purchasing items. This includes laws relating to shipping, delivery, and ownership of specific types of items.

x. Reporting Issues: If a buyer encounters fraudulent, misleading, or unsafe activity, they must report it promptly to Hobby Nest using the support email provided.

7.      PROHIBITED ACTIVITIES / RESTRICTIONS

i.                  Illegal Use: You must not use Hobby Nest for any unlawful purpose or to promote illegal activities, including the sale of stolen goods, counterfeit items, or anything prohibited by U.S. law.

ii.                Prohibited Items: You must not list, buy, or attempt to trade items that are restricted under our Seller Terms or by law. This includes dangerous items, banned materials, or items that infringe on intellectual property rights.

iii.              False or Misleading Information: You must not provide false details when creating an account, listing items, or communicating with other users. Misrepresentation of identity, location, or products is strictly forbidden.

iv.               Fraudulent Activity: You must not engage in scams, payment fraud, chargebacks, or any other dishonest behavior designed to cheat other users or the platform.

v.                 Unauthorized Access: You must not attempt to hack, bypass, or interfere with the security of Hobby Nest, its servers, or its systems. This includes trying to gain access to accounts or information that do not belong to you.

vi.               Circumventing the Platform: You must not use Hobby Nest to find buyers or sellers and then complete transactions outside the platform in order to avoid subscription fees or rules.

vii.             Abuse of Messaging System: You must not use the messaging feature to spam, harass, threaten, or send offensive content to other users. Messages must only be used for legitimate trade-related purposes.

viii.           Multiple Accounts: You must not create more than one account. Duplicate accounts, or accounts created to get around suspensions or restrictions, are not allowed.

ix.               Misuse of Credits: You must not use credits in a way that manipulates visibility unfairly or misleads users. Credits must only be used for bumping or pinning listings as intended.

x.                 Intellectual Property Infringement: You must not upload, post, or sell items that infringe on the intellectual property rights of others, including copyrighted works, trademarks, or patented designs.

xi.               Harmful Content: You must not post or share content that is abusive, obscene, discriminatory, defamatory, or otherwise harmful to the community.

xii.             Interference with Others: You must not interfere with another user’s listings, transactions, or account. This includes attempts to disrupt sales or damage another user’s reputation.

xiii.           Automated Tools or Bots: You must not use bots, scrapers, or automated tools to collect data, manipulate listings, or interact with the platform.

xiv.            Violation of Policies: You must not act in a way that violates these Terms, the Seller Terms, the Privacy Policy, or any other rules and policies published by Hobby Nest.

8.      MESSAGING AND COMMUNICATION RULES

i.               Purpose of Messaging: The messaging system is provided to help buyers and sellers communicate about listings, offers, and transactions. It must only be used for legitimate platform purposes, not for unrelated discussions or personal promotions.

ii.             Respectful Communication: You must always treat other users with respect. Offensive, abusive, discriminatory, or threatening language is not allowed. Hobby Nest has zero tolerance for harassment of any kind.

iii.           No Spam or Advertising: You must not use the messaging system to send spam, bulk messages, or unrelated advertisements. Messages should only be about buying, selling, or clarifying listings.

iv.            Accuracy and Honesty: When sending messages, you must be truthful about your identity, your intent, and the details of the item being discussed. Misleading or deceptive communication is not permitted.

v.              Confidentiality of Communication: You must respect the privacy of communications. Sharing another user’s messages publicly without their consent is not allowed.

vi.            Timely Responses: If you are engaged in a transaction or serious inquiry, you must respond to messages in a timely manner. Unreasonable delays or ignoring messages can disrupt the trust and efficiency of the platform.

vii.          Reporting Misuse: If you receive spam, harassment, or any inappropriate messages, you must report it to Hobby Nest through the support email. This helps us keep the platform safe. viii.         Monitoring and Enforcement: Hobby Nest reserves the right to monitor communications (to the extent permitted by law) to ensure compliance with these rules. If rules are broken, we may issue warnings, restrict messaging, or suspend the user’s account.

9.      INTELLECTUAL PROPERTY 

i.             Hobby Nest’s Rights: All parts of the Hobby Nest platform - including the website design, code, logos, text, graphics, layout, and overall look and feel - belong to Hobby Nest, LLC and are protected under copyright, trademark, and other intellectual property laws. You do not gain any ownership rights by using the platform. You are given a limited, personal, non-transferable, and revocable license to use the platform only as allowed under these Terms. You must not copy, reproduce, distribute, or attempt to commercially exploit any part of the platform without our written consent.

ii.           Your Content and License to Hobby Nest: When you post or upload content - such as item listings, photos, descriptions, reviews, or messages - you remain the owner of that content.

However, you give Hobby Nest a license to use it so the platform can function. This license is non-exclusive, royalty-free, worldwide, and allows us to display, store, reproduce, and share your content as needed for the operation, promotion, or improvement of the platform. For example, we may use your listing photos in search results, marketing material, or on social media to showcase activity on Hobby Nest. This license ends when you remove your content, except that copies may remain in routine system backups or in past marketing already created. iii. Accuracy and Responsibility for Content: You are fully responsible for ensuring that your content is lawful, accurate, and does not infringe the rights of others. You must not upload or list items using stolen images, counterfeit brands, or materials that violate copyright, trademark, or patent laws. If your content infringes someone else’s intellectual property, you may face legal claims, and Hobby Nest reserves the right to suspend or terminate your account.

iv.           Use of Hobby Nest’s Brand: You cannot use Hobby Nest’s name, logo, or brand identity in a way that suggests you are affiliated with us, endorsed by us, or representing us, unless you have written permission. This includes using confusingly similar names or logos in domain names, social media, or any marketing material.

v.             Handling of Complaints (DMCA): If you believe your copyright is being violated by content on Hobby Nest, you may send us a proper notice as per our DMCA Notice. Once we receive a valid complaint, we will review it quickly and may remove or disable access to the reported content. Repeated violations by the same user may result in suspension or permanent account termination.

vi.           Reservation of Rights: Except for the limited license we grant to you to use the platform, all rights, titles, and interests in Hobby Nest’s intellectual property remain solely with Hobby Nest, LLC. Nothing in these Terms transfers our ownership or gives you any right to use our intellectual property beyond what is expressly stated here.

10.   SUBSCRIPTION PLANS AND PAYMENTS 

i.                 Requirement of Subscription: To actively use Hobby Nest - whether as a buyer or seller - you must have a valid subscription. Without a subscription, you may browse listings, but you cannot post items, message users, favorite items, or leave reviews. Both buyers and sellers are required to maintain the same level of subscription to participate in the marketplace.

ii.               Types of Subscriptions: Hobby Nest offers quarterly and yearly subscription plans. The features available under each plan are described on the platform. It is your responsibility to review these details before purchasing a plan. Your access and privileges will depend on the subscription you choose.

iii.             Payment Process: All subscription payments must be made through our approved payment processor, Stripe. You must provide accurate and valid payment details. By purchasing a subscription, you authorize Hobby Nest to charge the applicable fees to your chosen payment method. We do not store or process payment card details ourselves.

iv.             Billing and Renewals: Subscription fees must be paid upfront at the start of your plan (quarterly or yearly). Subscriptions renew automatically at the end of each billing cycle unless you cancel

before renewal. If your payment method fails or is declined, Hobby Nest may suspend or restrict your access until payment is successfully completed.

v.               Non-Refundable Fees: Subscription fees are non-refundable. For more information, please refer to our Cancellation & Refund Policy. If your account is suspended or terminated due to a breach of these Terms, you will not receive a refund for unused time.

vi.             Additional Credits: You may purchase optional credits to bump or pin your listings for extra visibility. Credits are separate from subscriptions, must be purchased through Stripe, and are non-refundable once used. They cannot be transferred or exchanged for cash.

vii.            Taxes and Charges: You are responsible for paying all applicable taxes, fees, or charges related to your subscription or credits. Where required, Hobby Nest will collect and remit taxes, and this will be clearly displayed at checkout.

11.   TERMINATION AND SUSPENSION OF ACCOUNTS

i.               Right to Suspend or Terminate: Hobby Nest may suspend or permanently close your account if you breach these Terms, provide false information, engage in fraud, harass other users, post prohibited content, or otherwise misuse the platform. Suspension or termination may happen without prior notice if we believe urgent action is needed to protect the community.

ii.             User’s Right to Cancel: You may choose to cancel your account at any time by following the steps provided on the platform or contacting our support team. For more information, please refer to our Cancellation & Refund Policy.

iii.           Effect of Termination: Once an account is terminated, you will lose access to all subscription features, credits, messages, and content associated with the account. Any active listings will be removed, and any credits left unused will expire automatically.

iv.            Ongoing Responsibilities: Even after your account is suspended or terminated, you remain responsible for any actions you took while your account was active. This includes completing agreed transactions, paying outstanding fees, and respecting the intellectual property rights of others.

v.              Reactivation or Appeal: In limited cases, you may contact Hobby Nest to request reactivation of your account if you believe a suspension or termination was made in error. We will review such requests at our discretion, but we are not obligated to restore access.

vi.            Closure of Platform: Hobby Nest reserves the right to discontinue or permanently shut down the platform at any time for business, legal, or technical reasons. In such cases, users with active subscriptions will receive a pro rata refund for the unused portion of their subscription term, but no further compensation or damages will be payable.

13.   THIRD PARTY LINKS

The Hobby Nest website may include links to third-party websites, services, or resources for your convenience or reference. These third-party links are provided solely as a resource, and Hobby Nest does not endorse, control, or take responsibility for the content, products, or services offered on these external websites. Buyers acknowledge that accessing third-party links is at their own risk, and Hobby Nest is not liable for any damages, losses, or issues arising from interactions with such third parties. Buyers are encouraged to review the terms and privacy policies of any third-party websites before using their services or sharing personal information.

14.   DISCLAIMER 

i.                  Intermediary: Hobby Nest only provides access to an online marketplace through subscriptions and credits. We do not act as a broker, agent, or guarantor for any buyer or seller. We do not own, create, inspect, test, or ship the items listed on the platform. Because transactions occur directly between buyers and sellers outside our control, we cannot and do not make any promises about how or whether transactions will be completed.

ii.                No Guarantee of Items or Sellers: Hobby Nest does not investigate or verify the accuracy, quality, safety, legality, condition, or authenticity of items listed. We also do not verify the identity, honesty, or intentions of buyers and sellers beyond the basic account requirements. This means you accept the risk that items may be misdescribed, defective, counterfeit, unsafe, or not delivered at all. Any disputes, losses, or dissatisfaction with items must be resolved directly between buyer and seller without involving Hobby Nest.

iii.              No Endorsement: Listings, reviews, user comments, or communications are created solely by users and do not reflect the views, recommendations, or approval of Hobby Nest. The fact that an item appears on the platform does not mean we have checked or confirmed its quality or legality. We do not guarantee the accuracy of reviews or feedback left by users.

iv.               Technical Issues and Availability: Hobby Nest makes no guarantee that the platform will always be available, error-free, or secure. Access may be interrupted due to updates, system failures, cyberattacks, or events outside our control. You accept the risk of temporary downtime, data loss, or disruption. Hobby Nest is not responsible for any financial loss, missed opportunities, or damages that result from downtime or technical issues.

v.                 Third-Party Services: Payments for subscriptions and credits are processed through Stripe, and usage analytics may be tracked by Google Analytics. These are independent third parties. Hobby Nest does not control them and cannot be held responsible for errors, breaches, loss of payment data, or misuse by those providers. You are responsible for reviewing and agreeing to their separate terms and privacy policies before using their services.

vi.               No Liability for User Conduct: Hobby Nest cannot control the behavior of users and is not responsible for any fraud, harassment, offensive content, scams, misrepresentations, failure to deliver, or unlawful activities carried out by users. We provide reporting tools, but we do not guarantee that every reported issue will be resolved to your satisfaction. You accept the risk of dealing with other users entirely at your own discretion.

vii.             Assumption of Risk: By using the platform, you understand and accept the risks of transacting with strangers online. This includes, but is not limited to, the risk of fraud, scams, stolen goods, counterfeit items, minors misrepresenting their age, failure to pay, failure to deliver, or personal harm when meeting in person. You must take reasonable safety measures, including verifying the other party, meeting in safe locations, and exercising caution before exchanging money or items.

viii.           Limitation of Responsibility: Hobby Nest provides the platform “as is” and “as available.” We do not provide warranties, insurance, guarantees, or protections of any kind regarding users, items, or transactions. We specifically disclaim liability for lost profits, lost data, reputational harm, or indirect damages arising from the use of the platform.

ix.               Compliance with Laws: It is your sole responsibility to ensure that your activities on Hobby Nest and any items you buy or sell comply with all applicable federal, state, and local laws. Hobby Nest does not provide legal or regulatory advice, and we are not responsible if you break the law while using the platform.

x.                 No Financial or Professional Advice: Any information on the platform - including listings, reviews, or communications - is general information provided by users. It is not financial, legal, tax, or professional advice. You must make your own independent decisions when buying, selling, or valuing items.

xi.               Risk of Data Loss or Security Breach: Although Hobby Nest takes reasonable steps to secure the platform, we do not guarantee that your account, data, or messages will always remain secure. Unauthorized access, hacking, or breaches may occur despite safeguards. You accept this risk and must take steps such as protecting your login information. xii. Limitation on Remedies: If you suffer a dispute, loss, or issue as a result of using Hobby Nest, your only remedy against Hobby Nest is to stop using the platform.

15.   LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Hobby Nest, including its owner(s), officers, employees, agents, contractors, partners, and affiliates, shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, anticipated savings, data, goodwill, reputation, business opportunities, or other intangible losses, arising out of or related to: (i) your access to or use of, or inability to access or use, the Hobby Nest platform; (ii) any conduct, content, or transactions of other users; (iii) any items listed, purchased, or sold through the platform; (iv) unauthorized access to or alteration of your account, data, or communications; (v) reliance on any content or information available through the platform; or (vi) any interruptions, errors, delays, or failures in the platform or related services, regardless of whether such damages were foreseeable or Hobby Nest was advised of the possibility of such damages.

Hobby Nest’s total aggregate liability for any claims, damages, or losses arising from or related to these Terms or your use of the platform shall not exceed the greater of: (a) the amount you paid to Hobby Nest, if any, for subscriptions or credits during the twelve (12) months immediately preceding the claim; or (b) one hundred dollars (US $100). This limitation applies to all claims, whether based on contract, tort, negligence, strict liability, warranty, statute, or any other legal theory.

You acknowledge and agree that Hobby Nest has no responsibility or liability for disputes between users, including but not limited to claims arising from fraud, misrepresentation, breach of agreement, failure to deliver, or quality of items. Any claims of this nature must be resolved directly between the buyer and seller.

Nothing in this clause excludes or limits liability for gross negligence, willful misconduct, death or personal injury caused by negligence, or any other liabilities that cannot be excluded or limited under applicable law.

16.   INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Hobby Nest, its directors, officers, employees, agents, affiliates, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to: (i) your use or misuse of the website ; (ii) your breach of these Terms or any applicable laws or regulations; (iii) any dispute or claim arising from your transactions, interactions, or agreements with Sellers; (iv) your infringement or alleged infringement of any third-party rights, including intellectual property, privacy, or contractual rights; or (v) any content you upload, post, or share on the website that causes harm or violates the rights of another party. This indemnification obligation survives the termination of your account or your use of the website.

17.   GOVERNING LAW, JURISDICTION, AND WAIVERS 

a)      Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.

b)     Negotiation and Informal Resolution: Before initiating any formal dispute resolution, the parties (buyers and Hobby Nest) agree to first attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms through good faith negotiations. Buyers may initiate this process by contacting Hobby Nest at support@hobbynest.com. Both parties agree to engage in sincere efforts to reach an amicable resolution within 30 calendar days from the date written notice is received.

c)      Judicial Action: You agree that any legal action, claim, or proceeding arising from or related to these Terms or your use of the platform must be brought exclusively in the state or federal courts located in Franklin County, Ohio. By using Hobby Nest, you submit to the personal jurisdiction of these courts and waive any objections to jurisdiction, venue, or forum convenience.

d)     No Class Actions: To the fullest extent permitted by law, you agree that any dispute or claim must be brought only in your individual capacity and not as part of a class action, collective action, or representative proceeding. You expressly waive the right to participate in any class or representative action against Hobby Nest.

e)      Waiver of Jury Trial: To the extent permitted by law, you waive the right to a jury trial in any legal proceeding arising out of or related to these Terms. All disputes will be decided by a judge sitting without a jury. 

f)       Continuation of Service: Pending the resolution of any dispute, the buyer agrees to continue abiding by the terms of these Terms that are not the subject of the dispute.

g)      Severability of Provisions: If any part of this section is found to be invalid or unenforceable under applicable law, the remaining provisions shall remain in full force and effect, and the invalid part shall be replaced with a valid provision that most closely reflects the original intent.

18.   DISPUTES AMONGST BUYERS AND SELLERS 

i. Direct Resolution Required: All purchases, sales, and exchanges on Hobby Nest are made directly between buyers and sellers. If a dispute arises over an item, payment, quality, delivery, or any other matter, it must be resolved solely between the buyer and the seller involved. ii. No Obligation of Hobby Nest: Hobby Nest is not a party to transactions between users and has no duty to investigate, mediate, or settle disputes. We do not provide refunds, replacements, or guarantees on behalf of buyers or sellers.

iii.           Responsibility for Losses: Any losses, damages, or disagreements that occur as a result of a transaction are the sole responsibility of the buyer and seller. Hobby Nest shall not be liable for fraud, misrepresentation, breach of contract, non-delivery, defective items, or any other issues arising out of user-to-user dealings.

iv.            Reporting Misconduct: Users may report suspected fraud, scams, or violations of these Terms to Hobby Nest. While we may review such reports to protect the integrity of the platform, we are not required to take action, and any decision we make to suspend or remove a user is at our sole discretion.

v.              Law Enforcement Cooperation: If a dispute involves alleged criminal activity, such as fraud, theft, or sale of prohibited items, the matter must be reported to local law enforcement. Hobby

Nest may cooperate with law enforcement by providing account information as required by law. vi. No Impact on Subscriptions: Disputes between buyers and sellers do not affect subscription payments or renewals. Subscription fees are payable to Hobby Nest for access to the platform and are not linked to the outcome of any transaction between users.

19.   NOTICES

When you use the website or send emails to Hobby Nest, you are communicating with us electronically. You consent to receive physically or electronically any communications related to your use of this website. Hobby Nest will communicate with you by email or by posting notices on this website. You agree that all agreements, notices, disclosures, and other communications that are provided to you electronically satisfy any legal requirement that such communications be in writing. We may give notice by means of a general notice via electronic mail to your email address as available with us. If you want to give a notice to us, you can do so by dropping an electronic mail to support@hobbynest.com. 

20.   GENERAL PROVISIONS 

i.             Independent Legal Advice: It is your obligation to obtain independent legal advice at your own expense to ensure you understand the provisions of these Terms.

ii.           Headings: The section headings are for convenience only and shall not control or affect the meaning or construction of any provision of these Terms. 

iii.         Breach: If you breach any provisions of these Terms, Hobby Nest reserves the right to take immediate action, which may include suspending or terminating your account, restricting your access to the website, or pursuing any legal remedies available under applicable law. Any such breach may also result in Hobby Nest reporting the violation to relevant authorities if it involves unlawful activities. You will be liable for any damages, losses, or costs incurred by Hobby Nest as a result of your breach, including reasonable legal fees. Hobby Nest’s failure to immediately act upon a breach does not constitute a waiver of its rights to enforce these Terms at any time.  iv. Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions of these Terms will continue in full force and effect.

v.               Waiver: Our failure to insist on or enforce strict performance of these Terms & Conditions shall not be construed as a waiver by us of any provision or any right that we have to enforce these Terms.

vi.             Survival: Notwithstanding any other provisions of these Terms & Conditions, or any general legal principles to the contrary, any provision of these Terms & Conditions that imposes or contemplates continuing obligations on either party shall survive the expiration or termination of these Terms & Conditions, for any reason whatsoever.

vii.            Assignment: You may not assign, transfer, or delegate your rights or obligations under these Terms without prior written consent from Hobby Nest. Any unauthorized assignment or transfer will be deemed null and void. Hobby Nest reserves the right to assign or transfer its rights and obligations under these Terms, in whole or in part, to any third party without requiring your consent. Such assignment or transfer will not affect your rights or obligations under these Terms. By continuing to use the website after any such assignment, you agree to be bound by the Terms as assigned.  

viii.          Entire Agreement: These Terms & Conditions, our Seller Terms. Privacy Policy, Cancellation & Refund Policy, together with any additional terms and conditions incorporated herein or referred to herein constitute the entire Agreement between Hobby Nest and you, relating to the subject matter hereof, and supersedes any prior understanding or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on our website. ix. Force Majeure: Hobby Nest shall not be held liable for any failure or delay in providing services on the website due to events beyond its reasonable control. These events include, but are not limited to, natural disasters, power outages, acts of government or regulatory authorities, cyberattacks or significant technical failures, disruptions to internet or telecommunications services, or other unforeseeable circumstances that prevent the normal operation of the website. During such events, Hobby Nest will make reasonable efforts to restore services as quickly as possible; however, buyers acknowledge that certain delays or disruptions may be unavoidable.

In such cases, Hobby Nest shall not be liable for any losses, damages, refund claims, or inconveniences resulting from the temporary unavailability of the website.

x. Updates to these Terms: Hobby Nest may update or change these Terms & Conditions from time to time to reflect changes in our services, legal requirements, or business practices. Your continued use of Hobby Nest after such updates are posted means that you accept and agree to the revised Terms.
